A Guided Journey from Start to Close
Selling a business is one of the most complex financial transactions most people will ever undertake. Unlike selling a house, there is no MLS listing, no open house, and no standard price per square foot. Every deal is unique.
At Marathon Capital Advisors, we've refined a process over 20+ years that protects your confidentiality, surfaces the best buyers, and guides you through every stage — so you can focus on running your business while we handle the sale.
How the Process Works
Initial Consultation
We begin with a confidential conversation about your goals, timeline, and what a successful sale looks like for you. There is no obligation, and nothing you share leaves this meeting without your permission.
Valuation & Pricing Strategy
We conduct a thorough analysis of your financials and market comparables to determine a realistic, defensible asking price — one that attracts serious buyers without leaving money on the table.
Listing Agreement & Engagement
Once you decide to move forward, we formalize our agreement and begin assembling a Confidential Information Memorandum (CIM) — a professional document that tells your business's story to prospective buyers.
Confidential Marketing
We market your business discreetly to our buyer database, industry networks, and select platforms — all without revealing your business name. Every prospective buyer signs an NDA before receiving any identifying information.
Buyer Screening & Qualification
We pre-qualify every interested party for financial capacity, relevant experience, and genuine intent before you meet any of them. Your time is only spent with buyers who can actually close the deal.
Buyer Meetings & Site Visits
We facilitate introductory meetings and facility tours, coach you on what to share and what to hold back, and debrief after each meeting to assess buyer interest and readiness.
Offer Negotiation & Letter of Intent
When an offer comes in, we help you evaluate its full terms — not just price, but structure, contingencies, transition requirements, and financing. We negotiate on your behalf to reach a Letter of Intent (LOI) that reflects your goals.
Due Diligence
This is the buyer's deep dive into your financials, operations, legal documents, and customer base. It typically takes 30–60 days. We manage the process, organize documentation, and field buyer questions to keep things moving.
Purchase Agreement & Closing
Attorneys draft the final purchase agreement. We coordinate with all parties — legal, accounting, lending — to ensure the closing goes smoothly and all documents are properly executed.
Transition & Handover
Most deals include a transition period where you stay on to help the new owner get settled. We help structure this to be clear, time-limited, and fair to both parties — so you can move on with confidence.
Our Role Throughout the Process
From day one to closing day, Marathon Capital Advisors acts as your advocate, advisor, and project manager. We're the central hub between you, the buyer, the attorneys, the lender, and the accountants — keeping communication clear, momentum high, and surprises to a minimum. You'll always know where your deal stands.
